# Terms of service

The contract for using Contals – who the parties are, accounts, plans and prices, our written promise, cancellation, your content, acceptable use, liability, governing law and the binding language.

Last updated: 16 October 2026

**Version 1.0 of 16 October 2026.**

**In short:** You own your content and can export it at any time. Volunteers, guests and viewers are free; full members pay per month or year on paid plans. You can cancel at any time, and our written promise (prices, notice periods, refund) is part of these terms. Please use Contals lawfully and respectfully. Swiss law applies; if the German and the English version differ, the German version prevails.

## 1\. Who we are and what these terms cover

1.1 Contals is operated by **Unique-P GmbH, Burengasse 11, 4655 Stüsslingen, Switzerland** (UID CHE-294.954.310), “we”.

1.2 These terms govern the use of the Contals app at app.contals.com, its public API and MCP server, the installable app, the e-mails and public pages it sends and shows, and related services (“Contals”).

1.3 Our contracting party is the **customer**: the organization that creates an organization in Contals – for example a church, a charity, an association, a school or a company – or a person who uses Contals for themselves. Whoever creates an organization or subscribes to a plan for it confirms that they may act on its behalf.

1.4 People use Contals as **members of an organization**: as owners, admins, members, volunteers, guests or viewers. By creating an account, everyone accepts these terms for their own use of Contals (in particular sections 2, 7 and 8); the customer remains our contracting party for plans and payment.

1.5 Where we process personal data on the customer’s behalf, the [data processing agreement (DPA)](https://contals.com/en/data-protection/dpa/) applies; it is part of these terms. An owner can also accept it explicitly in the organization settings. The [privacy policy](https://contals.com/en/privacy/) describes the processing for which we are responsible ourselves.

1.6 Other terms of the customer, for example purchasing conditions, do not apply, even if we do not object to them.

## 2\. Accounts and minimum age

2.1 You need an account with a confirmed e-mail address. Keep your sign-in details safe, use two-factor sign-in where your organization requires it, and tell us at [security@contals.com](mailto:security@contals.com) if you suspect unauthorized use.

2.2 You must be **16 or older** to use Contals. Younger people may use it with the consent of a parent or guardian; whoever creates an account confirms this (we never ask for a birth date). Organizations that invite younger people, for example to a youth group’s board, make sure the consent exists.

2.3 Accounts are personal and may not be shared. Organizations manage access through workspace and board roles; the owners and admins of an organization are responsible for whom they invite and which rights they grant.

2.4 Owners and admins can create invite links that let a group join a workspace in a free role. They decide who receives a link and end it when it is no longer needed; everyone joins with their own account and consent.

2.5 API tokens and connected AI agents act with the rights of the person who created them. That person is responsible for what is done with them and revokes them when they are no longer needed.

## 3\. The service and early access

3.1 Contals is work management software for teams: boards, lists and cards with Power-Ups, shared in real time. The features of each plan are described on the [pricing page](https://contals.com/en/pricing/) , in the [documentation](https://contals.com/docs/en/) and in the app at the time of the order.

3.2 We develop Contals continuously. We may change, replace or remove features, provided that the main functions of a plan the customer has paid for are not materially reduced during the paid period. We announce material changes at least 30 days in advance. Big changes to how Contals looks or works come as an opt-in preview first.

3.3 Contals is in **early access**: the core is built and tested, and prices are early-access prices, final before the public launch. Features marked as a preview are offered as they are and may change or end without notice.

## 4\. Plans, prices and payment

4.1 Contals has a **free plan** and **paid plans**. Their limits (full members, boards, Power-Ups, e-mails, storage) are on the pricing page and in the app. A free organization that nobody uses for 90 days is paused – read-only, nothing is deleted – until an owner signs in again; the owners are told 14 and 3 days before.

4.2 Prices of paid plans are **per full member** (owners, admins, members) and month or year; a full member is counted once per organization. **Volunteers, guests and viewers are free.** The prices in force are on the pricing page.

4.3 Prices are in Swiss francs (CHF), euros (EUR) or US dollars (USD). The organization chooses the currency at its first checkout, and it stays the same for that subscription.

4.4 Prices exclude VAT and sales tax. Where it applies, it is added according to the billing address, calculated by our payment provider and shown on the invoice.

4.5 Paid plans are billed **in advance**, monthly or yearly, through our payment provider Stripe; card and account details are entered at Stripe only. Full members added during a period are billed pro rata at once; full members removed are no longer billed from the next period, without a credit for the current one.

4.6 **Trial.** A new organization gets the Team plan for 14 days without entering a payment method. Afterwards it continues on the free plan unless an owner subscribes; we remind the owners 3 days and 1 day before the end. A subscription canceled during its trial ends on the free plan; nothing is closed or deleted.

4.7 **Nonprofit pricing.** On request, registered churches, charities and associations get the Team plan free for a number of full members and a discount beyond that, as stated on the pricing page. They ask for it on their organization’s billing page; we decide on each request and may end the discount with the notice in section 5.2 if the conditions are no longer met.

4.8 **Failed payments.** If a payment fails, our payment provider tries again and the owners are told by e-mail. The plan stays fully usable for 14 days; if the payment is still open then, the organization becomes read-only until it is paid. If the subscription is finally canceled for non-payment, section 6.4 applies.

## 5\. Our written promise

The [pricing and trust promise](https://contals.com/en/promise/) is binding in this form:

5.1 **Price lock.** The price per full member that a paying customer pays stays the same for at least **12 months** from the start of its paid subscription.

5.2 **Price changes.** We announce a price increase to paying customers by e-mail at least **60 days** before it applies to them; it never applies before the end of the price lock. Customers can cancel before it applies.

5.3 **Free plan.** We announce changes to the free plan that are to the customer’s disadvantage at least **6 months** in advance. No data is deleted because of them.

5.4 **Refund.** If a customer asks within **30 days** of its first payment for a paid plan, we refund that payment in full, without questions. The request goes to [support@contals.com](mailto:support@contals.com) ; the refund ends the paid plan, and section 6.4 applies.

5.5 **Export.** Boards and workspaces can be exported as JSON, and a board’s cards as CSV, at any time and on every plan, also after a paid plan ends (section 6.4).

5.6 **Discontinuation.** If we discontinue Contals, we announce it at least **6 months** in advance, keep exports available until the end and refund prepaid fees for the time after it.

5.7 **No ads, no data sales.** We earn money from paid plans only – never from advertising or from selling or sharing data – and we do not use customer content to train AI models.

## 6\. Term, cancellation and when a plan ends

6.1 The contract runs for an indefinite period. The customer can end it at any time by deleting its organization (section 6.5); a person ends their own use by deleting their account (section 6.6).

6.2 A paid subscription renews automatically for the same period (month or year). Owners can cancel it at any time on the organization’s billing page, effective at the end of the period already paid; until then it keeps working. Except under sections 5.4, 5.6, 6.8 and 13.3, paid fees are not refunded.

6.3 Apart from discontinuing Contals (section 5.6), we can end a customer’s contract only for good cause (section 6.8) or, for an organization on the free plan, with 6 months’ notice.

6.4 **When a paid plan ends.** When a paid subscription has ended – after a cancellation or for non-payment – the organization continues on the free plan, and its owners are told by e-mail. **Nothing is deleted:** everything stays readable and keeps working within the free plan’s limits; above them, nothing further can be added until an owner subscribes again. An organization is deleted only when an owner asks for it (section 6.5). *(This section describes how Contals works today; it is the one place where these terms describe the end of a plan.)*

6.5 **Deleting an organization.** Owners can delete their organization in its settings. It is then read-only for 30 days and deleted afterwards, unless an owner keeps it before. A running subscription is canceled with it.

6.6 **Deleting an account.** Everyone can delete their account at any time on their profile page. Personal data is deleted after a 30-day grace period; content written in shared workspaces stays with the team as “Deleted user”. If the person is the last owner of an organization, the deletion page shows what happens to it before anything is deleted. Details are in the privacy policy.

6.7 **Billing records** are kept as long as tax and commercial law requires, also after an organization or account is deleted.

6.8 **Good cause.** Either party can end the contract or a subscription without notice for good cause – for us in particular serious or repeated breaches of section 8 despite a warning, or illegal use. If we end it without the customer being at fault, we refund prepaid fees for the time after it.

## 7\. Your content

7.1 The content that the customer and its members put into Contals (boards, cards, comments, files and other data) belongs to them. They grant us the non-exclusive, worldwide, free right to store, copy, process and display it, to back it up and to send it to the people and services they choose, as far as this is needed to provide, secure and support Contals – for the duration of the contract and the retention periods in the privacy policy and the DPA. We use content for no other purpose.

7.2 The customer is responsible for its content and for having the rights and, for personal data, the legal basis it needs – including consents and its own assessment for special categories of personal data (for example religious beliefs or health). Information under professional secrecy, such as pastoral counselling, does not belong in Contals.

7.3 What the customer or its members publish – public boards, date polls, booking pages – is their responsibility. They decide who gets the link and turn it off when it is no longer needed.

7.4 **Community templates.** When an organization shares a board’s structure as a community template, it confirms that its texts contain no personal data and nothing it may not share, and it dedicates the structure to the public domain under [CC0 1.0](https://creativecommons.org/publicdomain/zero/1.0/) : anyone may use, change and share it without asking or naming the organization. We review every template before it becomes public and may refuse or remove one – for example after a report – with a short note to the organization. It can withdraw a template at any time; boards and copies others already made from it remain theirs. Templates in the gallery come as they are, without any warranty.

7.5 **Feedback.** Suggestions for Contals may be used freely and without payment.

## 8\. Acceptable use, reports and moderation

8.1 Do not use Contals to break the law or infringe the rights of others (for example copyright, personality or data protection rights); to publish illegal, defamatory, discriminatory or violent content; to send spam, phishing or unsolicited mass mail; to distribute malware; to attack, probe, overload or scrape the service; to circumvent its limits, permissions or security; or to resell it without our consent.

8.2 **Reports.** Anyone can report content on a public page or a community template with **Report abuse** on that page, or by e-mail to [support@contals.com](mailto:support@contals.com) ; security problems go to [security@contals.com](mailto:security@contals.com) .

8.3 **How we moderate.** We do not monitor content. We act on reports and on what we notice otherwise: a person reviews each case; automatic rules only enforce technical limits (for example rates, sizes and the contact-data check of community templates). If content or behaviour breaks the law or these terms, we may – depending on the severity – take down a public page or template, remove the content, limit features, or suspend accounts or organizations. Where reasonable, we warn first; in serious cases we act at once.

8.4 We tell the affected organization’s owners or the publisher which measure we took and why, unless the law forbids it. They can contest a decision by replying to that e-mail or writing to [support@contals.com](mailto:support@contals.com) ; a person reviews it again and answers.

## 9\. Availability, support and third-party services

9.1 We aim for high availability but give **no guaranteed availability** (no service level agreement). Contals runs on Cloudflare’s network; we keep backups as described in the [technical and organizational measures](https://contals.com/en/data-protection/toms/) . Maintenance that interrupts Contals is announced in advance where possible.

9.2 **Support** is by e-mail at [support@contals.com](mailto:support@contals.com) , in German or English. We answer as soon as we can, usually within two working days, without a guaranteed response time.

9.3 **Free Trello migration.** For a limited number of organizations we guide the move from Trello in a video call, free of charge and without an entitlement to it. The customer runs the import in its own account; we never ask for passwords, never sign in to the customer’s accounts and do not take the export file. We may decline a request or end this service at any time.

9.4 **Services the customer chooses** – chat platforms, its own AI provider, sign-in providers, calendar apps, webhook endpoints, Zapier or Make – are provided by their operators under their own terms. We are not responsible for them; we only send them what the customer’s settings allow.

## 10\. Liability

10.1 We are liable without limitation for damage we cause intentionally or through gross negligence, for injury to life, body or health, and where mandatory law provides for liability regardless of fault (for example product liability).

10.2 For slight negligence, our liability is limited in total to the fees the customer paid us in the 12 months before the damaging event, but at least CHF 100 (or the same amount in the customer’s currency). In that case we are not liable for indirect or consequential damage, lost profit or savings, or for the loss of data that the customer could have avoided by regular exports.

10.3 These rules also apply to the liability of our employees and auxiliaries.

10.4 Where mandatory law – in particular the consumer protection law of the country in which a consumer lives – does not allow these limitations, they apply only as far as it allows. Claims of data subjects under data protection law remain unaffected.

10.5 The customer is liable for content and actions of its members that break the law or these terms, and holds us harmless from claims of third parties based on them, unless we are at fault.

## 11\. Data protection and confidentiality

11.1 We process personal data as described in the privacy policy and, for data on the customer’s behalf, the DPA. Contals staff do not read customer content in normal operations; access for support needs the customer’s request for the specific case and is logged.

11.2 Both parties keep confidential the non-public information of the other that they learn through the contract, also after it ends.

## 12\. Right of withdrawal for consumers

12.1 If you are a consumer in the EU, the EEA or the United Kingdom, you may withdraw from a paid subscription within **14 days** of its conclusion without giving reasons. To withdraw, send us a clear statement – for example by e-mail to [support@contals.com](mailto:support@contals.com) or by post to Burengasse 11, 4655 Stüsslingen, Switzerland; you may use the form below. Sending it within the 14 days is enough.

12.2 If you withdraw, we refund all payments for the subscription within 14 days, with the same means of payment. This goes beyond the statutory rule, under which you would have to pay for the days already used: our refund in section 5.4 covers them.

12.3 *Model withdrawal form* (fill it in and send it only if you want to withdraw): To Unique-P GmbH, Burengasse 11, 4655 Stüsslingen, Switzerland, [support@contals.com](mailto:support@contals.com) : I/we (\*) hereby give notice that I/we (\*) withdraw from my/our (\*) contract for the provision of the following service (\*): … – Ordered on (\*) … – Name of consumer(s) – Address of consumer(s) – Signature of consumer(s) (only if this form is notified on paper) – Date. (\*) Delete as appropriate.

## 13\. Changes to these terms

13.1 We may change these terms for good reason, for example new features, changed law or court decisions, or to close gaps. We announce material changes by e-mail to the owners and in the app at least **30 days** before they take effect; price changes follow section 5.2, changes to the free plan section 5.3.

13.2 If the customer keeps using Contals after a change takes effect, the new terms apply; we point this out in the announcement. Changes that are only to the customer’s advantage or that the law requires may take effect sooner.

13.3 If a change is to the customer’s disadvantage, the customer can cancel before it takes effect; prepaid fees for the time after it are refunded.

## 14\. Transfer of the contract

We may transfer this contract to another company that takes over the operation of Contals. We tell the customer at least 30 days in advance; the customer can cancel before the transfer, and prepaid fees for the time after it are refunded.

## 15\. Governing law and jurisdiction

15.1 These terms and every contract under them are governed by **Swiss law**, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the Swiss rules on conflict of laws.

15.2 The exclusive place of jurisdiction is the **seat of Unique-P GmbH** (canton of Solothurn, Switzerland). We may also sue the customer at its seat or domicile.

15.3 If the customer is a **consumer**, the mandatory protection of the law of the country in which they have their habitual residence remains unaffected, and they may sue us – and can be sued – at the courts of their domicile where the law provides so.

## 16\. Language and final provisions

16.1 These terms are written in **German and English**; both versions are binding. If they differ, the **German version prevails**. Versions in other languages are for information only.

16.2 Notices under these terms may be given in text form, in particular by e-mail to the owners of the organization or to our addresses in the [imprint](https://contals.com/en/imprint/) .

16.3 If a provision of these terms is or becomes invalid, the rest remains valid; the invalid provision is replaced by a valid one that comes closest to its purpose.
